McKinsey & Company and its affiliates (“McKinsey” or “we”) provide its content on mckinsey.com/alumni (the “Site”) subject to the following terms and conditions (the “Terms”).

Please read this page carefully. Your use of this site constitutes your agreement to the following terms and conditions. If you do not agree with any of the Terms stated within, or are legally unable to agree to these Terms, you may not use this web site or any associated services.

These terms and conditions are subject to change at any time by updating this page. Periodically, you should return and review these terms and conditions. These terms were last updated on April 14, 2020. By accessing and using the site following the posting of any new or modified terms and conditions or other usage agreement constitutes your acceptance of the modified agreement.

For an explanation of our practices and policies related to the collection, use and storage of your information, please refer to our Privacy Policy. In addition to the Terms outlined below, if you elect to join an Alumni Interest Group, you agree to abide by the Group Guidelines outlined here.

1. User Registration

This Site may be viewed and/or hosted anywhere in the world and is intended to be accessible only to current and former McKinsey colleagues and select corporate recruiters who have been granted login privileges. By using this Site, you represent that you are a McKinsey alum, Firm member, or corporate recruiter intentionally granted login privileges by McKinsey. In order to use certain aspects of the Site, you must first register with us by creating, activating, and /or verifying a user account (“User Account”). In order to create, activate, and /or verify a User Account, you must provide us with certain information, including personally-identifiable information, and you must also select a user password (“User Account Information”).

You agree that you will provide us with only accurate and complete User Account Information and notify us promptly if any such User Account Information changes. You also acknowledge that you are responsible for maintaining the privacy and security of your User Account name and password. You may not share access to your User Account with any third party. If you believe your User Account privacy or security has been compromised, you must notify us immediately at alumni_relations@mckinsey.com. Our use of your User Account Information is subject to our Privacy Policy and these terms. You further represent that you will not access this Site in violation of any applicable laws.

We may retain User Account Information indefinitely in order to use it for ensuring compliance with these Terms and any applicable legal requirements, in order to modify and improve the Site or our related service offerings, as well as for any purpose authorized by these Terms or our Privacy Policy.

2. Use of Site Content

McKinsey hereby grants you a limited, non-exclusive, non-transferable, revocable license for the term hereof to access and download, display, and print one copy of the Site Content (as defined below) on any single computer solely for your personal use, provided that you are a Firm member or a McKinsey alum, or for your internal, business use, provided that you are neither a Firm member nor a McKinsey alum, but a corporate recruiter intentionally granted login privileges by McKinsey; and provided that you do not modify the Site Content in any way (including creating derivative works thereof), that you retain all copyright and other proprietary notices displayed on the Site Content, and that you otherwise comply with these Terms. You may not otherwise reproduce, modify, reverse engineer, distribute, transmit, post, or disclose the Site Content without McKinsey’s prior written consent. In addition, you may not mirror the Site Content or any portion thereof without McKinsey’s express written consent. Nothing on this Site should be construed as granting directly or indirectly, or by implication any license or right to use any McKinsey intellectual property, including any Trademarks, other than as expressly set forth herein. The license granted in this section terminates automatically and immediately if you do not comply with these Terms.

3. User Content

In connection with your use of the Site, you may have the opportunity to post, submit, publish or distribute job postings or otherwise share information, images, videos, materials, data or other content in connection with this Site (“User Content”). You acknowledge and agree that, by providing us any such User Content, McKinsey shall own and have the unrestricted right to use, publish, and otherwise exploit any and all information that you post or otherwise publish on the Site in postings, forums or message boards, questionnaire, survey responses, and otherwise, and you automatically grant, and hereby do grant to us a worldwide, non-exclusive, transferable, assignable, sublicensable, fully paid-up, royalty-free, perpetual, irrevocable license and right to use, reproduce, publish, distribute, modify, and otherwise exploit such User Content for any purpose, and in any form or media, not prohibited by applicable law. In addition, you hereby waive any claims against us for any alleged or actual infringement of any rights of privacy or publicity, intellectual property rights, moral rights, or rights of attribution in connection with our use of such User Content as permitted by these Terms.

This Site makes no guarantees as to the level of success that you may achieve by using the Site or any provided service or feature, or that a user’s job posting or any other User Content will be accessible for the entire term of its listing. Computer outages, software failure and other technical and non-technical issues may cause temporary outages that could impact the accessibility of a job posting.

You covenant and agree that you shall not submit or upload or otherwise publish or make available through the Site any User Content that (a) are deemed to be offensive, threatening, libelous, defamatory, or obscene; (b) would constitute, or that encourage conduct that would constitute, a criminal offense, given rise to civil liability, or otherwise violate the law; (c) infringes the intellectual property, privacy, or other rights of any third parties; (d) contains a computer virus or other malicious or destructive element or extract protected data (e.g. Viruses, Trojan horses, worms, etc.); (e) contains advertising; (f) constitutes or contains false or misleading statements, including for the purpose of misrepresenting your User Content, your identity, or your reason or intent for posting User Content; or (g) violates these Terms or is designed to interfere, or would reasonably be expected to interfere, with our provision of the Site and the reasonable use and enjoyment of other users of the same. McKinsey reserves the right to edit or remove any User Content or User Account from the Site for any reason (or no reason) and will attempt to notify the user supplying such User Content of any material changes or removal.

Comments or content posted to the Site do not necessarily reflect the opinions of McKinsey, its affiliates, or either’s employees McKinsey does not represent or endorse the accuracy of reliability of information, content, materials, data, comments, opinions or statements posted to the Site by users. In addition, McKinsey does not and cannot review all information posted to the Site by users and is not responsible for such information. However, McKinsey reserves the right to refuse to post and the right to remove any information, in whole or in part, for any reason or for no reason.

4. Specific Prohibited Uses

In addition to the limitations on use of this Site and User Content set forth in Sections 2 and 3, we prohibit the following:

You may not use this Site and its services for any illegal or unlawful purposes.
You may not enter data that is knowingly inaccurate, incomplete or false, including as part of User Content or User Account Information.
You may not enter data, including personal information, that does not belong to you, or enter data, including personal information, for another user without that user’s express permission, provided that such other user is a current Firm member, McKinsey alum, or corporate recruiter expressly granted privileges by McKinsey to use this Site. This shall include, but not be limited to, the listing of job opportunities or other User Content.
You may not access, collect, record, alter or interfere with any other user’s account data (including User Account Information) that does not belong to you. Any attempts or successes at violating another user's privacy rights shall result in breach of these Terms, which will result in termination of your usage rights, and may further result in criminal or civil proceedings.
You may not use this Site or its services for anything other than their intended uses. This shall include, but not be limited to, the practice of posting openings that do not specifically exist for the purpose of collecting resumes or other data from our users. This practice is explicitly restricted and will result in cancellation of your posting and removal of your usage rights, including the removal of your User Account.
You may not use this Site or its services with the intent of hurting, damaging, destroying, or otherwise infringing on the stability and usefulness of our services or business.
You may not distribute protected materials, including but not limited to, User Account Information (such as user account data, user contact information, or user passwords), to any third party or with other site users. You may not utilize data from this Site, or use any other means, to bypass the Site's security and extract protected data from outside sources.
You may not aggregate, package, spider, collect, or display any of the content on this site without the express written consent of McKinsey. This includes using this Site or its services to compile mailing lists or other such databases for commercial purposes, to solicit inappropriately, or to disclose or otherwise disseminate such information to third parties.
You may not copy, duplicate or use any of the coding, markup language, or software that comprises the site or any of its services. None of these items may be reverse-engineered, duplicated, or mirrored in whole or in part, for any purpose except to the extent expressly permitted by applicable law.

McKinsey reserves the right to terminate user access to the Site and its services at any time and for any reason or no reason.

5. Copyrights and Trademarks

All content and functionality on the Site, including text, graphics, logos, icons, images, and videos and the selection and arrangement thereof, in addition to any concepts, know-how, tools, frameworks, software, applications or other technology, algorithms, models, processes, and industry perspectives underlying or embedded in the foregoing, along with any enhancements to or derivative works thereof (the “Site Content”), is the exclusive property of McKinsey or its licensors and, to the extent applicable, is protected by U.S. and international copyright laws. This Site as a whole is further copyright protected as a collective work, and individual works appearing on or accessible through this site are likewise subject to copyright protection. You agree to honor the copyrights in this Site (including the selection, coordination and arrangement of the contents of this site) and in the works available on or through this Site.

Neither the content nor functionality of this Site, may be copied, reproduced, modified, reverse engineered, mirrored, published, uploaded, posted, transmitted, or distributed in any way without our express written permission. 6. Notices of Infringement and Takedown

11. Governing Law; Jurisdiction

These Terms are governed by the laws of the State of New York without reference to the principles of conflicts of laws thereof. If any portion of these Terms are found to be unenforceable by a court of competent jurisdiction, the remaining portion will remain in full force and effect. Any failure by us to enforce any provision of these Terms will not be considered a waiver of such provision or any other aspect of the Terms. Any amendment to or waiver of these Terms must be made expressly and in writing. You will not transfer or assign any of your rights or obligations under these Terms to anyone else without our express consent, and any such transfer or assignment shall be void.
